Terms & Conditions

Effective Date: 17 September 2026

Welcome to VERD, an ESG scoring, disclosure, and gap-remediation platform operated by CRLT Technology Sdn Bhd (Company No. 1527513-A). These Terms and Conditions govern your access to and use of the VERD website, platform, client portal, consultant portal, admin portal, and related services.

*By accessing the website, creating an account, or subscribing to a VERD plan, you agree to these Terms.
(If you are entering into these Terms on behalf of a company or legal entity, you confirm that you have the authority to bind that entity.)

“Account” means the registered profile through which an Authorized User accesses the Services.

“Authorized User” means an individual authorized by a Client to access the Services under a Client’s subscription.

“Client” means the company or organization that has subscribed to a VERD plan.

“Content” means data, documents, disclosures, scores, reports, and other materials submitted to, generated by, or made available through the Services.

“Subscription Plan” means the Starter, Growth, Enterprise, or other plan selected by the Client, as described on our pricing page.

VERD provides a software-as-a-service platform that enables organizations to:

• Assess and score ESG (environmental, social, and governance) performance;

• Manage sustainability disclosures aligned with applicable frameworks, including Bursa Malaysia’s common sustainability matters and related reporting requirements;

• Identify gaps in ESG maturity and receive structured remediation guidance;

• Where specifically engaged, receive advisory or consulting support from VERD’s ESG advisory team.

VERD’s scoring outputs, maturity tiers, and remediation guidance are decision-support tools. They do not constitute legal, financial, audit, assurance, or regulatory compliance advice, and Clients remain solely responsible for their own regulatory filings, disclosures, and compliance obligations.

3.1 You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services.

3.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us immediately if you suspect unauthorized use.

3.3 Clients are responsible for the conduct of all Authorized Users acting under their subscription and for ensuring those users comply with these Terms.

3.4 You agree to provide accurate, current, and complete information when registering and to keep such information updated.

4.1 Plans. VERD offers tiered Subscription Plans, currently Starter, Growth, and Enterprise, each with defined features, usage limits, and pricing as published on our website or agreed in a separate order form or subscription agreement.

4.2 Billing. Subscription fees are billed in advance on a monthly or annual basis, or as otherwise agreed in a separate written agreement, unless otherwise stated.

4.3 Taxes. Fees are exclusive of applicable taxes, including SST, where applicable, which will be added to invoices as required by law.

4.4 Price changes. We may revise Subscription Plan pricing from time to time. For existing subscriptions, price changes will be communicated with at least 30 days’ prior notice.

4.5 Late or failed payment. We may suspend access to the Services if payment is overdue and not resolved within 30 days of notice.

4.6 Consulting and advisory engagement. Where VERD provides ESG advisory services beyond the standard platform subscription, including consulting, assessment, validation, or other professional services, such engagements will be governed by a separate scope of work or engagement letter, which takes precedence over these Terms for the scope of that engagement.

5.1 Ownership. As between you and VERD, you retain all rights, title, and interest in the Content you submit to the platform (“Client Data”).

5.2 Licence to VERD. You grant VERD a non-exclusive, worldwide, royalty-free licence to host, process, store, and use Client Data solely to provide and improve the Services, generate ESG scores, disclosures, and reports, and support the Services permitted under our Privacy / PDPA Notice.

5.3 Aggregated and de-identified data. VERD may use aggregated and de-identified data from which no individual or Client can reasonably be identified for benchmarking, analytics, product improvement, and research purposes.

5.4 Accuracy of data. You are solely responsible for the accuracy, completeness, and legality of the data you submit. VERD’s scoring and disclosure outputs are only as accurate as the underlying data provided.

5.5 Data retention post-termination. Following termination or expiry of your subscription, VERD will retain Client Data for a reasonable transition period as described in the Privacy Notice. After such period, it may be deleted in accordance with our data retention practices, subject to legal or regulatory retention obligations.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;

• Reverse engineer, decompile, disassemble, or attempt to extract the underlying source code of the platform, except as permitted by law;

• Upload, submit, or transmit Content that is unlawful, defamatory, fraudulent, malicious, or infringes third-party rights;

• Interfere with or disrupt the integrity or performance of the Services, including through unauthorised scraping, automated data extraction, or security testing without prior written authorization;

• Use the Services to build a competing product or service.

VERD reserves the right to suspend or terminate access for any breach of this section.

7.1 The Services, including the VERD platform, scoring methodologies, software, algorithms, templates, and all related intellectual property, are owned by CRLT Technology Sdn Bhd or its licensors and are protected under applicable intellectual property laws.

7.2 Nothing in these Terms transfers any ownership of VERD’s intellectual property to you. You are granted a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term, solely for your internal business purposes.

7.3 The specific scoring models, indicator methodologies, and exposure matrices underlying VERD’s ESG scoring engine are confidential and proprietary trade secrets of CRLT Technology Sdn Bhd.

Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its own confidential information, and in no event less than reasonable care, and to use such information only for the purpose of performing under these Terms. This clause survives termination of these Terms.

9.1 Term. These Terms remain in effect for as long as you maintain an active Account or Subscription Plan.

9.2 Termination by you. You may cancel your subscription at any time in accordance with our Refund Policy. Cancellation takes effect at the end of the current billing cycle unless otherwise stated.

9.3 Termination by VERD. We may suspend or terminate your account, with or without notice, if: (i) you breach these Terms; (ii) payment is significantly overdue; (iii) we reasonably suspect fraudulent, abusive, or unlawful activity; or (iv) required by law or regulatory direction.

9.4 Effect of termination. Upon termination, your right to access the Services ceases. You will have 14 days from termination to request your Client Data, after which VERD may delete it, subject to Section 5.5.

10.1 THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. VERD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 VERD does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that ESG scores or disclosure outputs will satisfy any specific regulatory, legal, or investment requirement, or that the Services will meet your individual requirements.

10.3 Nothing in these Terms constitutes a guarantee of ESG rating or disclosure, investment, regulatory approval, or Bursa listing compliance. Clients remain responsible for independently verifying their filings and regulatory obligations.

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CRLT TECHNOLOGY SDN BHD, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

11.2 VERD’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to VERD in the preceding 12 months immediately preceding the event giving rise to the claim.

11.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Malaysian law, including liability for fraud or wilful misconduct.

You agree to indemnify and hold harmless CRLT Technology Sdn Bhd and its affiliates, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (i) your breach of these Terms; (ii) your misuse of the Services; or (iii) your violation of any law or third-party rights in connection with your use of the Services.

The Services may integrate with or link to third-party services, including hosting providers, payment processors, and other platforms. VERD is not responsible for the content, security, or practices of third-party services, and your use of them is governed by their own terms.

We may update these Terms from time to time. Material changes will be notified via email, or in-platform notice at least 14 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15.1 These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

15.2 The parties shall first attempt to resolve any dispute through good faith negotiation. If unresolved within 30 days, disputes shall be referred to court of Malaysia.

16.1 Entire agreement. These Terms, together with any order form, engagement letter, or Data Processing Agreement, constitute the entire agreement between you and VERD regarding the Services.

16.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

16.3 No waiver. Failure to enforce any right under these Terms does not constitute a waiver of that right.

16.4 Assignment. You may not assign these Terms without VERD’s prior written consent. VERD may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Force majeure. VERD is not liable for delays or failures caused by events beyond its reasonable control.

Refund and Cancellation Policy

Effective Date: 17 September 2026

This Refund and Cancellation Policy (“Policy”) applies to all subscriptions purchased through VERD, operated by CRLT Technology Sdn Bhd (Company No. 1527513-A).

*This Policy should be read together with our Terms & Conditions. By subscribing to VERD, you agree to this Policy.

This Policy applies to the Starter, Growth, and Enterprise Subscription Plans, and any other self-service plans purchased via our website or client portal. Where a separate written agreement, order form, or consulting engagement letter (e.g., for bespoke advisory or onboarding services) specifies different refund terms, that agreement takes precedence over this Policy for the scope it covers.

2.1 Where VERD offers a free trial period, no payment is collected during the trial, and you may cancel at any time before the trial ends without charge.

2.2 If you do not cancel before the trial ends, your Subscription Plan will automatically convert to a paid subscription and be billed according to the plan selected.

3.1 New Clients subscribing for the first time to a paid VERD plan may request a full refund within 7 calendar days of the initial purchase, provided that:

• The request is made in writing to verd@verd.asia; and
• The account has not exceeded reasonable evaluation use — specifically, no more than 1 full ESG scoring cycle, gap analysis report, or data export has been generated for a live client engagement.

3.2 This cooling-off period applies once per Client and does not apply to renewals, upgrades, or subsequent billing cycles.

4.1 Monthly Subscription Plans are billed in advance and are non-refundable for the current billing period once the cooling-off period (Section 3) has passed.

4.2 You may cancel a monthly subscription at any time. Cancellation stops future billing but does not entitle you to a refund or credit for the remainder of the current paid month. You will retain access to the Services until the end of the paid period.

5.1 Where a Client has opted for annual billing (typically at a discounted rate), and cancels after the cooling-off period in Section 3:

• No refund will be issued for the current annual term; or
• At VERD’s discretion, a pro-rated refund may be issued for unused whole months remaining in the term, less any discount applied for choosing annual billing, and subject to a minimum retained amount equivalent to 3 months of service at the standard monthly rate.

5.2 Requests for pro-rated refunds under this section are considered on a case-by-case basis and are not guaranteed.

6.1 Upgrades (e.g., Starter to Growth, Growth to Enterprise) take effect immediately, with the difference in fees pro-rated for the remainder of the current billing cycle.

6.2 Downgrades take effect at the start of the next billing cycle. No refund is issued for the difference in the current cycle.

7.1 If VERD fails to deliver the Services substantially as described (for example, prolonged platform unavailability due to an issue within VERD’s control), you may be eligible for a service credit applied to a future billing cycle, at VERD’s discretion, in lieu of a cash refund.

7.2 To request a service credit, contact verd@verd.asia within 14 days of the service issue, providing details of the disruption.

7.3 This section does not apply to issues arising from: (a) your internet connectivity or hardware; (b) scheduled maintenance notified in advance; (c) third-party integrations outside VERD’s control; or (d) force majeure events.

Fees paid for bespoke ESG advisory, remediation consulting, or onboarding services (where scoped and invoiced separately from the platform subscription) are governed by the payment and cancellation terms set out in the applicable engagement letter or scope of work, and are generally non-refundable once work has commenced, except as otherwise agreed in writing.

Refunds will not be issued where:

• The request is made after the applicable cooling-off or eligibility window has passed;
• The Account was suspended or terminated for breach of the Terms and Conditions (including fraudulent or abusive use);
• The Client has already received substantial value from the Services during the billing period in question (e.g., a completed ESG score, disclosure report, or remediation plan tied to a live regulatory or investor deadline);
• Fees were paid via a third-party channel (e.g., an issuing house or reseller) and are subject to that party’s own refund terms.

To cancel your subscription or request a refund:

1. Email verd@verd.asia with your Account name, subscription plan, and reason for the request; or
2. Use the cancellation option within your client portal account settings (where available).

We aim to acknowledge all requests within 7 business days and resolve eligible refunds within 14 business days, credited to the original payment method where possible.

We may update this Policy from time to time. Material changes will be communicated via email or in-platform notice before taking effect. The version in effect at the time of your original subscription purchase governs that transaction unless we notify you of an applicable change.
